Terms and conditions for using the Dinspire platform

Welcome to Dinspire! These Terms of Service ("Terms") govern your access to and use of the Dinspire mobile application and website (collectively, the "Platform") operated by ON Technologies Ltd ("we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

1. Acceptance of Terms

By creating an account or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and ON Technologies Ltd.

2. Eligibility

You must be at least 13 years old to use the Platform. If you are under 18, you represent that you have obtained permission from your parent or legal guardian to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

3.1 Account Creation

To access certain features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including if you violate these Terms. You may delete your account at any time through the Account Management page.

4. Use of the Platform

4.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use.

4.2 Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Post or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the Platform or servers or networks connected to the Platform
  • Attempt to gain unauthorized access to any portion of the Platform
  • Use automated systems (bots, scrapers, etc.) to access the Platform
  • Collect or harvest any personally identifiable information from other users
  • Use the Platform for any commercial purpose without our prior written consent
  • Post spam, advertising, or promotional content

5. User Content

5.1 Your Content

You retain ownership of any content you create, post, or share on the Platform ("User Content"), including recipes, photos, comments, and meal plans. By posting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Platform.

5.2 Content Standards

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to post your User Content
  • Your User Content does not violate these Terms or any applicable laws
  • Your User Content does not infringe on the rights of any third party
  • Your User Content is accurate and not misleading

5.3 Content Moderation

We reserve the right, but have no obligation, to monitor, review, or remove User Content that violates these Terms or is otherwise objectionable. We may remove User Content without notice.

6. AI-Generated Content

The Platform uses artificial intelligence to generate recipe recommendations and meal plans. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You acknowledge that:

  • AI-generated recipes are suggestions and should be reviewed before use
  • You are responsible for verifying nutritional information and ingredient safety
  • We are not liable for any issues arising from following AI-generated recipes
  • You should consult healthcare professionals for dietary advice

7. Intellectual Property

7.1 Our Content

The Platform and its original content (excluding User Content), features, and functionality are owned by ON Technologies Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Trademarks

Dinspire and related logos are trademarks of ON Technologies Ltd. You may not use these trademarks without our prior written permission.

8. Third-Party Services

The Platform may integrate with or contain links to third-party services, websites, or content. We are not responsible for and do not endorse any third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Platform will be uninterrupted, secure, or error-free
  • The results obtained from using the Platform will be accurate or reliable
  • Any errors in the Platform will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ON TECHNOLOGIES LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Platform
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Platform
  • Any bugs, viruses, or other harmful code that may be transmitted to or through the Platform
  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Platform

11. Indemnification

You agree to indemnify, defend, and hold harmless ON Technologies Ltd, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Platform
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.

13. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Platform shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved in the courts of England and Wales.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ON Technologies Ltd regarding the Platform.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
